1. About these Terms

These Terms of Service ("Terms") govern your access to and use of UShine, including the UShine website, applications, assessments, capability profiling tools, demand-discovery tools, problem-matching features, solution workspaces, account features, integrations and related services (together, the "Service").

UShine ("UShine", "we", "us" or "our") operates the Service from the United Kingdom. By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you access UShine through an employer, school, charity, training provider, public body or other partner organisation, additional programme terms or notices may also apply. If there is a conflict, mandatory law takes priority, followed by any specifically agreed programme terms, then these Terms.

2. What UShine does

UShine is built around a simple idea: people have abilities and forms of value that can be discovered, developed and connected to real needs. The Service may help you move through stages such as capability discovery, evidence gathering, problem discovery, solution development, connection and practical deployment.

Depending on the features available to you, UShine may allow you to:

  • answer assessments, reflection questions or a Gift Discovery Assessment;
  • upload or submit CVs, certificates, portfolios, work samples, profile information, links or other evidence of experience and capability;
  • receive an AI-assisted Capability or Gift Profile describing strengths, demonstrated capabilities, supporting evidence, combinations, potential problem areas and development gaps;
  • review, edit, refine, save or export parts of your profile;
  • discover real problems, needs, opportunities, roles, projects, organisations, groups or demand signals that may fit your capabilities;
  • see reasons why a match may fit you, evidence supporting that match, possible next steps and information about how to reach the relevant person, organisation or opportunity;
  • develop possible solutions, proposals, offers, action plans or evidence of contribution;
  • save problems, solutions, profiles, connections and progress to your account;
  • connect optional third-party accounts or services where integrations are offered; and
  • use partner, workplace or organisational versions of UShine where available.

Features may change as UShine develops. Some features described in these Terms may not be available to every user, market, device or account.

3. Eligibility and accounts

The general public version of UShine is intended for people aged 18 or over. If UShine offers a school, youth or partner programme to users under 18, that access may be governed by additional age-appropriate safeguards, permissions, notices and programme terms.

You must provide accurate account information and keep your login credentials secure. You are responsible for activity carried out through your account unless the activity results from a failure by UShine to use reasonable security measures.

You may not create an account using false identity information, impersonate another person, or access another person's account without permission.

4. Your information and uploads

You keep ownership of the original content and evidence you submit to UShine, including your CV, written answers, certificates, portfolio materials, links, work samples, audio, images and other materials ("User Content"), subject to any rights that third parties may already have in that material.

You give UShine a limited, non-exclusive licence to host, store, copy, analyse, transform and otherwise process your User Content only as reasonably necessary to operate, secure, support and provide the Service, generate the outputs you request, maintain your account, and improve the reliability and usefulness of UShine's features. This licence ends when the relevant content is deleted from our active systems, except where limited retention is legally required or remains temporarily in secure backups.

You are responsible for making sure you have the right to upload the material you provide. Do not upload confidential information belonging to an employer, client, school, organisation or another person unless you are authorised to do so.

UShine does not require unnecessary sensitive information to identify your capabilities. Avoid uploading special-category or highly sensitive personal information unless it is genuinely relevant to a feature and you are comfortable providing it.

5. AI-generated analysis and outputs

UShine uses artificial intelligence and automated processing to analyse information, identify patterns, infer possible capabilities, generate profiles, rank possible matches, summarise evidence, suggest problems, propose next steps and support solution development.

AI output is probabilistic. It can be incomplete, inaccurate, outdated, overconfident or simply wrong. A Capability Profile is an evidence-based interpretation of information available to UShine, not a definitive statement about your identity, worth, future, personality, employability or potential.

You should review important outputs before acting on them. Where the Service allows it, you should correct inaccurate inputs, challenge conclusions that do not fit, add missing evidence and refine your profile over time.

UShine does not use your Capability Profile or matching score to make a legally binding decision about you. UShine does not itself decide whether an employer hires you, a customer buys from you, a funder awards money, a partner selects you, or another organisation accepts your proposal. Those decisions remain with the relevant human or organisation.

6. Demand discovery, Problem Garage and external evidence

UShine may search, analyse, organise and store information from the public web and other permitted sources to identify real-world problems, demand signals, opportunities and organisations that may need particular capabilities. This may include public webpages, job or project listings, public professional information, public posts, reviews, articles, directories, support discussions and other publicly accessible evidence.

UShine may organise this information into internal or user-facing systems such as a Problem Bank, Problem Garage, Demand Discoverer or similar feature. Evidence may include source links, excerpts, dates, organisations, roles, problem descriptions, demand patterns and contact routes.

External information can change without notice. A listing may close, a person may change roles, a website may be inaccurate, a budget may change, or a need may no longer exist. UShine therefore does not guarantee that externally sourced evidence is complete, current, authorised by the source for your particular use, or commercially available to you.

You must independently verify material facts before relying on them, particularly deadlines, payment, eligibility, identity, contractual terms and contact details.

7. Contacting people and organisations

UShine may help you get closer to a relevant person, organisation, role, customer, partner or opportunity by identifying a lawful public contact route and helping you prepare a message, proposal or next action.

Unless a feature expressly says otherwise and you separately authorise it, UShine does not send outreach, applications or replies on your behalf. The decision to contact someone, what to say, whether to continue a conversation and whether to enter into an agreement remains yours.

You must use contact information responsibly. You may not use UShine to spam, harass, deceive, discriminate against, intimidate or unlawfully profile people, or to send communications that breach applicable privacy, direct-marketing, platform or anti-harassment rules.

8. Third-party services and integrations

UShine may rely on or integrate with third-party services for functions such as artificial intelligence, web search, hosting, authentication, analytics, storage, communications and optional social or professional account connections. Current or planned integrations may include services such as OpenAI, Exa, TikTok and other providers where relevant to a feature.

If you choose to connect a third-party account, UShine will request only the permissions needed for the feature being offered. The third party's own terms and privacy policy also apply to its service.

Links to third-party websites, people, organisations, listings or services are provided for convenience and evidence. UShine does not control those third parties and is not responsible for their content, availability, security, hiring decisions, commercial conduct or privacy practices.

9. Payments and commercial activity

UShine's purpose includes helping people connect capability with problems that may create value, including opportunities where money is attached or may reasonably be earned. However, UShine does not guarantee payment, revenue, profit or a particular commercial outcome.

If UShine introduces paid subscriptions, transaction tools, payment processing, escrow or other financial features, additional pricing, payment and transaction terms may apply. Where third-party payment processors are used, their terms and privacy practices may also apply.

Any agreement you enter into with a customer, employer, partner, funder, supplier or other third party is between you and that party unless UShine expressly agrees in writing to be a party to it.

10. Intellectual property

UShine and its licensors retain all rights in the Service itself, including its software, interface, brand, trademarks, databases, matching methods, assessment structures, ranking systems, Problem Bank or Problem Garage structure, prompts, workflows, templates, designs, research systems and other proprietary materials.

Subject to these Terms, UShine gives you a personal, limited, revocable, non-exclusive licence to use the Service and outputs generated for you for lawful personal, educational, professional and commercial purposes.

Your right to use an output does not give you ownership of UShine's underlying systems, methods, code, prompts, databases or other intellectual property used to produce that output.

Third-party material surfaced through UShine remains subject to the rights of its original owner and any applicable exceptions or licences.

11. Acceptable use

You must not use UShine to:

  • break the law or encourage unlawful activity;
  • infringe intellectual-property, privacy, confidentiality or data-protection rights;
  • upload malware, harmful code or content designed to interfere with the Service;
  • gain unauthorised access to accounts, systems or data;
  • scrape, harvest or extract UShine data at scale without written permission;
  • reverse engineer or attempt to reconstruct protected parts of UShine except where applicable law expressly permits it;
  • misrepresent AI-generated claims as verified fact where verification is reasonably required;
  • use profiles or demand data to discriminate unlawfully or make harmful decisions about other people;
  • upload another person's personal information without a lawful and reasonable basis;
  • send spam, deceptive outreach or abusive communications;
  • impersonate UShine, its partners, another user or another person; or
  • use the Service in a way that could materially harm UShine, its users, its partners or the people whose public information appears in demand evidence.

12. Availability, experiments and changes

UShine is an evolving service. We may add, remove, test, rename, improve or discontinue features. We may also impose reasonable usage limits, introduce paid tiers, change technical providers or alter how a feature works.

We aim to keep the Service available and useful, but we do not promise uninterrupted or error-free access. Maintenance, provider outages, internet failures, security events, legal requirements or technical changes may temporarily affect availability.

13. Suspension and termination

You may stop using UShine at any time and may request account deletion using the controls or contact routes made available by the Service.

We may restrict, suspend or terminate access where reasonably necessary to protect users or the Service, investigate suspected misuse, comply with law, address security risks, respond to non-payment for paid features, or enforce these Terms. Where appropriate, we will provide notice and a reasonable opportunity to resolve the issue.

Sections that by their nature should continue after termination, including intellectual property, disclaimers, liability and governing law, will continue to apply.

14. Important disclaimers

UShine is a capability-discovery, problem-discovery and solution-support platform. It is not a recruitment agency, employer, educational awarding body, financial adviser, investment adviser, law firm or regulated professional adviser unless a particular service expressly says otherwise.

Nothing in the Service is a guarantee that:

  • a Capability Profile is the only or final description of what you can do;
  • a suggested problem or opportunity is a perfect fit;
  • a person or organisation will respond to you;
  • you will be hired, funded, contracted, selected or paid;
  • a proposed solution will work in practice; or
  • following an action plan will create a particular level of income, impact or success.

Important career, financial, legal, medical, safeguarding or business decisions should be checked using appropriate human judgement and, where needed, qualified professional advice.

15. Liability

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or your mandatory consumer rights.

If you are a consumer, UShine will provide services with the level of care and skill required by applicable law. We are not responsible for losses caused by circumstances outside our reasonable control or for losses that were not reasonably foreseeable when you began using the Service.

To the fullest extent permitted by law, UShine is not responsible for decisions or conduct of third parties, lost opportunities caused by inaccurate or changed external information, or business losses such as lost profit, revenue, contracts, goodwill or anticipated savings where you use UShine for business purposes.

You remain responsible for checking important information, deciding whether to act on an output and reviewing any contract or commitment before entering into it.

16. Governing law and disputes

These Terms are governed by the laws of England and Wales, subject to any mandatory protections that apply to you because of where you live.

If you are a consumer resident in the United Kingdom, you retain any right under applicable law to bring proceedings in the courts available to you. If you use UShine for business purposes, the courts of England and Wales will have exclusive jurisdiction unless UShine agrees otherwise in writing.

If a dispute arises, we encourage you to contact UShine first so we can try to resolve it.

17. Contact

UShine is the operator of the Service. You can contact UShine using the contact facility or contact details published on the UShine website. For legal or account-related requests, clearly state the nature of your request so it can be routed appropriately.

18. Changes to these Terms

We may update these Terms as UShine develops, legal requirements change or new features are introduced. We will update the "Last updated" date above. If a change materially affects your rights or obligations, we will provide additional notice where required by law.
